The Fine Print – Private Lessons

This is an agreement made on  [date]  between [name][the “Client”], and Sea Change Farm and Flower, LLC [the “Business”] for a Private Workshop[the “Event”] on [date] from [start time – end time]. The event will take place at:

Sea Change Farm
340 Queens Highway
Accord NY 12404

Event Description

The Client is hiring Sea Change Farm & Flower to conduct a private workshop at the Business’ flower farm for the Client and their party.  The private workshop will include the following:

– A guided farm tour
– An instructional demonstration of floral design
– A vase for each participant in the Client’s party to keep
– Use of buckets, floral snips, and other appropriate tools
– Refreshments provided by Sea Change Farm & Flower

If needed, Sea Change Farm & Flower may provide additional flowers grown either by other Hudson Valley area flower growers to be used during this event.  If needed, Sea Change Farm & Flower may provide material grown elsewhere within the USA.

If a fire, flood, hurricane, frost, or other natural disaster results in damage to the property or personnel at Sea Change Farm that makes it impossible to host this workshop, or if illness or personal injury to the personnel at the Business makes it impossible to host this workshop, Sea Change Farm & Flower will provide a full refund to the Client.  The Client agrees to release the Business from all liability.

Farm Facilities

The farm offers running, non-potable water.  Drinking water will be provided by The Business, but the Client is advised to bring additional drinking water if desired.

The farm offers an indoor, sheltered space, should adverse weather arise during the Event.  However, much of the workshop will take place outdoors, and the Client is advised to dress appropriately with warm clothing, sun protection, rain gear, and close-toed shows.

The farm offers toilet facilities to the Client in the form of a composting toilet.

Risks and Hazards

The Client agrees that there are hazards associated with visiting a farm which may give rise to bodily injury and/or property damage.  These risks include, but are not limited to: sun exposure, insect bites, insect stings, uneven ground and other tripping hazards, health hazards related to hot or cold weather, poison ivy, outdoor allergies, cuts, scratches bruises, or injury from misuse of floral snips or other tools and farm implements.  

The Client agrees to listen to all instructions provided by The Business.  The Client voluntarily agrees to release the Business from all liability.  The Client agrees to hold the Business harmless and the Client agrees not to sue Sea Change Farm & Flower for injury or property damage arising from these inherent risks.

The Client and the rest of their party knowingly and voluntarily assumes full responsibility for these risks arising out of or related to their participation in the Event.

Changes to the Workshop

If the Client wishes to change the number of participants in their group, change the itinerary of the workshop, or change the date of the workshop, they must do so before [one month before date]. 

If the total number of participants is reduced, the difference in price will not be refunded.

Last-Minute Additions
Additional changes that are made to the Event (such as adding new participants) after [one month before date] may incur a +25% rush fee.  Such changes will be invoiced separately and must be paid in full at the time of ordering.  Such changes cannot be cancelled.

Sea Change Farm & Flower reserves the right to cancel the altered workshop as described in ‘Cancellations’ if the altered workshop cannot be reasonably hosted by the Business.

Cancellations
The Client understands that by making a commitment to the Client, Sea Change Farm & Flower loses the opportunity to fill other orders the day of the Client’s event.  If the Client wishes to cancel their event, Sea Change Farm & Flower reserves the right to keep their retainer.

If the Client wishes to cancel the Event, they may do so up to  [one month before date] and receive a refund of any payments they have made beyond a $500 retainer.

The Client understands that if payment is not made in full by the event date, this contract is rendered null and void, and all payments will be forfeited.  Additionally, Sea Change Farm & Flower will not conduct the workshop in this case.

Sea Change Farm & Flower also reserves the right to cancel this workshop if fire, flooding, natural disasters of any kind, or other emergencies or tragedies occur.  In this case, Sea Change Farm & Flower will refund all payments made by the Client, including the deposit.

Change of Date
Should the Client wish to change the date of their delivery to a new date, for any reason, they must notify Sea Change Farm & Flower by  [one month before date].

If the Client fails to notify the Business of a change of date before this deadline, all payments will be forfeited.

The Client may apply any payments made to a new date, provided that the new date meets the following conditions:

1. The new date must be within 14 months of the original date
2. Sea Change Farm & Flower must be available to provide services on the new date

If the Client’s new date does not meet these criteria, then this scenario is treated as a cancellation (see “Cancellations” above).

There is no “change fee” for switching to a new date.  However, Sea Change Farm & Flower reserves the right to change their prices from year to year.  If the cost of the Client’s workshop is higher on the new date, the Client will be required to pay the difference.

Retainer

A retainer of the lesser of $500 or 35% of the total workshop cost and a signed contract must be secured prior to any services being performed by Sea Change Farm & Flower.

Payment can be made in the following ways:

– By bank transfer
 

The Client agrees to sign this contract once their order has been processed.
